Insolvency law for businesses
When a company cannot pay its debts, insolvency proceedings (the concurso de acreedores) are the legal tool to put the situation in order. It does not always mean closing down: handled well, it can be used to restructure the debt, negotiate with creditors and, in some cases, keep the business running. Which legal structure is right for my business?
It depends on several factors: the risk you want to take on, the partners, the initial investment and your revenue forecasts. Registering as self-employed (autónomo) is quick but you are liable with your personal assets; a limited company (sociedad limitada, SL) limits that liability but involves more formalities and costs. There is no single answer. We analyse your project and advise you on the legal structure that best fits your situation.
How do I claim unpaid invoices?
The first thing is to gather the documentation that proves the debt: invoices, contracts, delivery notes or emails. You usually start with a written claim (a burofax (a certified letter that leaves a record)) and, if there is no payment, you go to court, such as the procedimiento monitorio (the order-for-payment procedure designed for documented debts). We review your invoices, look at what evidence you have and prepare the claim by the most suitable route to recover your money.
What are insolvency proceedings (concurso de acreedores)?
It is a legal procedure for when a company or a self-employed person cannot pay its debts. It serves to put the situation in order, treat creditors in line with the law and find the best way out, which can be to restructure the debt and carry on or, if that is not viable, to wind down in an orderly way. We are with you whether your company is going through difficulties or you are a creditor and want to defend your claim.
